These Terms of Service (“Terms”) govern your use of the website gknectdigital.co.za and any services, applications, or integrations operated by GKnect Digital (“GKnect”, “we”, “us”, “our”). By accessing this website or engaging us for services, you agree to these Terms.
Please also read our Privacy Policy, which explains how we handle personal information.
1. About us
GKnect Digital is a South African digital marketing agency providing website design and development, search engine optimisation, paid advertising management, social media management, and related digital services.

2. Use of this website
You may browse this website for lawful purposes relating to evaluating or using our services. You agree not to:
- Use the website in any way that breaches South African law or the laws of your jurisdiction.
- Attempt to gain unauthorised access to the website, its servers, or any connected system.
- Introduce malicious code, or interfere with the normal operation or security of the website.
- Scrape, harvest, or systematically extract content or contact details for unsolicited marketing.
- Copy, republish, or resell website content without our written permission.
We may suspend or restrict access to the website at any time without notice where we reasonably believe these Terms have been breached.
3. Our services
The specific services we provide to a client, together with the scope, deliverables, timelines, and fees, are set out in a written proposal, quotation, or service level agreement (each a “Service Agreement”) signed or accepted by the client.
Where a Service Agreement conflicts with these Terms, the Service Agreement takes precedence for that engagement. Content on this website describing our services is indicative and does not constitute a binding offer.
Work outside an agreed scope is treated as a new request and will be quoted separately before it is carried out.
4. Client responsibilities
To allow us to deliver our services, clients agree to:
- Provide accurate, complete, and lawful information, content, and materials.
- Provide timely feedback, approvals, and access to systems where these are required to progress work.
- Hold all necessary rights and licences to any logos, images, copy, or other material supplied to us for use.
- Ensure that advertised products, services, and claims comply with applicable law and with the advertising policies of the relevant platform.
- Maintain their own backups of any content or data they consider business-critical.
Delays caused by outstanding client input, approvals, or access may shift agreed timelines accordingly.
5. Third-party platforms and authorised access
Delivering our services generally requires access to third-party advertising, analytics, and hosting platforms — including Meta (Facebook and Instagram) Ads, Google Ads, Google Analytics, LinkedIn Ads, Microsoft Ads, and content management or hosting systems.
Where a client grants us access to such a platform, whether through user permissions or an OAuth authorisation to an application we operate:
- We access and process account, campaign, reporting, and conversion data solely to deliver the services agreed with that client.
- Access tokens and credentials are stored securely and used only for that purpose. We do not sell them, share them with third parties for marketing purposes, or use them for any client other than the one that granted access.
- The client confirms that they are authorised to grant us that access.
- Access may be revoked by the client at any time through the relevant platform. Revoking access may prevent us from continuing to deliver the affected services.
- On termination of the engagement, or on written request, we will cease using the access and revoke or surrender the associated tokens and permissions.
Our use of these platforms is additionally governed by each platform’s own terms and developer policies. Those platforms are independent third parties: we do not control their availability, pricing, policies, algorithms, or approval decisions, and we are not responsible for changes they make or for account actions they take.
6. Fees and payment
Fees, billing frequency, and payment terms are those set out in the applicable Service Agreement. Unless that agreement states otherwise:
- Quoted fees cover the agreed scope of work only.
- Retainer services are invoiced in advance for each service period.
- Advertising spend paid to platforms such as Meta or Google is separate from, and in addition to, our management fees, and is the client’s responsibility.
- Third-party costs such as hosting, domains, licences, and stock assets are passed on to the client unless expressly included in the quotation.
We may suspend services on written notice where an invoice remains unpaid beyond its due date.
7. Intellectual property
All content on this website — including text, layout, graphics, and the GKnect Digital name and logo — remains our property or that of our licensors, and may not be reproduced without written permission.
For client work, ownership of final deliverables transfers to the client on full payment of all amounts due for that work. We retain ownership of our underlying tools, templates, frameworks, scripts, and know-how, and of any pre-existing material we bring to an engagement. Nothing transfers rights in third-party assets, which remain subject to their own licence terms.
Unless a client asks us in writing not to, we may reference completed work and identify the client in our portfolio and marketing materials.
8. Confidentiality
Each party may receive non-public information belonging to the other. Both parties agree to keep such information confidential, to use it only for the purposes of the engagement, and not to disclose it to third parties except to personnel and subcontractors who need it and are bound by equivalent obligations, or where disclosure is required by law.
9. Disclaimers
Website content is provided for general information only and does not constitute professional, financial, or legal advice. While we take care to keep it accurate and current, we make no warranty that it is complete, error-free, or up to date, and we do not warrant that the website will be uninterrupted or free of harmful components.
Digital marketing outcomes depend on factors outside our control, including market conditions, competitor activity, client pricing and offering, budget levels, and third-party platform algorithms and policies. Except where a Service Agreement expressly states otherwise, we do not guarantee specific rankings, traffic volumes, lead counts, conversion rates, advertising costs, or revenue. Any forecasts, projections, or benchmarks we provide are estimates based on available data and are not warranties of performance.
10. Limitation of liability
To the fullest extent permitted by law, and subject to the Consumer Protection Act, 2008 where it applies:
- We are not liable for indirect, incidental, special, or consequential loss, including loss of profit, revenue, goodwill, business opportunity, or data.
- Our total aggregate liability arising from or in connection with an engagement is limited to the fees paid by the client to us for the services giving rise to the claim in the three months preceding the event.
- We are not liable for loss arising from third-party platform outages, policy changes, account suspensions, or actions taken by those platforms.
- We are not liable for loss arising from inaccurate or incomplete information supplied by the client, or from the client’s own use of deliverables after handover.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
11. Term and termination
The duration of an engagement and the notice required to end it are set out in the applicable Service Agreement. Either party may terminate immediately on written notice where the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent or subject to liquidation or business rescue proceedings.
On termination, the client remains liable for fees for services delivered up to the termination date and for any third-party costs already committed on their behalf. We will hand over completed, paid-for deliverables and, on request, cooperate reasonably in transferring access.
12. Privacy and data protection
We process personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA) and our Privacy Policy, which forms part of these Terms. Where we process personal information on a client’s behalf, we do so on that client’s documented instructions and apply appropriate security safeguards. Requests relating to access, correction, or deletion of personal information can be sent to [email protected].
13. Third-party links
This website may link to third-party websites. Those links are provided for convenience only. We do not control and are not responsible for the content, accuracy, security, or privacy practices of any third-party site.
14. Events beyond our control
We are not in breach of these Terms, and are not liable for delay or non-performance, where it results from an event beyond our reasonable control, including network or power failure, load shedding, third-party platform or hosting outages, cyber-attack, natural disaster, civil unrest, or changes in law.
15. Changes to these Terms
We may update these Terms from time to time. The version published on this page applies from its “Last updated” date. Continued use of the website or our services after a change takes effect constitutes acceptance of the revised Terms. Material changes affecting an active engagement will be communicated to the client directly.
16. General
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect. A failure to enforce a provision is not a waiver of it. These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between the parties and supersede prior discussions on the same subject matter.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. The parties will first attempt in good faith to resolve any dispute by negotiation. Failing that, the parties consent to the jurisdiction of the South African courts having jurisdiction in the matter.
